Manuevo Terms & Conditions

This document constitutes the terms and conditions forming a legal agreement between you and Manuevo BV and its affiliates (collectively referred to as “Manuevo,” “we,” “us,” or “our”). These terms and conditions (together with Manuevo’s Privacy Statement, referred to as the “Terms and Conditions”) govern your use of www.manuevo.com (the “Website”), any mobile applications (the “Applications”), the Powered by Manuevo Platform (the “Platform”), and the various services, features, and content we provide (collectively referred to as the “Manuevo Services” or “Services”).

By utilizing the Services, you confirm that you have read, understood, and agreed to these Terms and Conditions, and that you comply with all applicable laws and regulations. You also certify that any 3D file (“3D Model”) uploaded to the Manuevo Website or shared with us does not violate any federal law or regulation, including those related to firearms, or applicable standards maintained by ISO, ASTM, ASME, or other similar bodies. If you disagree with these Terms and Conditions, do not use the Website, Applications, or Services.

Manuevo Services

The Manuevo Services consist of various offerings provided through the Website. One of our primary services allows you to upload a 3D file to our Website and view it in 3D.

If you wish to turn your 3D Model into a tangible item, you can place an order with us, and we will manufacture it according to your specifications. For a service fee and the cost of materials, we will produce the 3D Model (i.e., print it using 3D printing technology) and ship it to you.

Account Terms

You must be at least 18 years old to use these Services. If you are under 18, you may only use Manuevo.com with the involvement of a parent or guardian. Children under 13 years old are not permitted to use these Services. We may, at our discretion, refuse to offer the Services to any person or entity and may change eligibility criteria at any time. You are responsible for ensuring that these Terms and Conditions comply with all applicable laws, rules, and regulations. The right to access the Services is revoked where these Terms and Conditions or use of the Services is prohibited or conflicts with any applicable law, rule, or regulation. Further, the Services are offered only for your use and not for the benefit of any third party.

To use some Services, you must register for an account (an “Account”). You must provide accurate, current identification, contact, and other information required as part of the registration process and keep your Account information updated. You shall not: (i) use as a username the name of another person with the intent to impersonate them; (ii) use a username subject to any rights of a person other than yourself without appropriate authorization; or (iii) use a name that is offensive, vulgar, or obscene. You are responsible for maintaining the confidentiality of your password and Account and are solely responsible for all activities that occur under your Account. You must notify us immediately of any change in your eligibility to use the Services, breach of security, or unauthorized use of your Account. You should never publish, distribute, or post login information for your Account. We will not be liable for any loss or damage resulting from your failure to maintain the security of your Account and password. We reserve the right to refuse or terminate service to anyone at any time without notice for any reason. You can delete your Account directly or by requesting it from one of our employees or affiliates.

If you are outside the European Union, registering an account will automatically enroll you to receive emails, marketing communications, promotions, special offers, and other correspondence from us. If you are within the European Union, you can opt-in to receive these communications by checking the appropriate box on your account settings page. You can opt out of receiving these communications at any time through your account settings page.

Ordering

(a) Placing an order. To order the 3D Model you designed, select the desired 3D Model. You can then choose the quantity and, if applicable, the material for the 3D Model. Next, provide us with the necessary delivery information and complete the payment process. Depending on the payment method selected, you may be redirected to a third-party payment provider website. The ordering process is conducted in English.

(b) Unacceptable orders, cancellation of orders by us. While most 3D Models available on our Website can be produced, there may be technical or other reasons why Manuevo may not accept or may cancel your order at any point during the ordering process, even after acceptance of your order. Reasons for cancellation may include the infeasibility of the model, an infringing feature of your 3D Model, or issues with the delivery destination indicated in your order. If we cancel all or part of your order, we will contact you via email and, except in cases of fraud or policy violations, issue a full refund for the cancelled item(s).

(c) Prices. The prices displayed on the Website are indicative and valid only at the moment of display. Manuevo reserves the right to change prices on the Website at any time without prior notice. However, such changes will not affect orders completed before the posting of new prices. While we strive to prevent pricing errors, we are not bound by our offer in the event of an error and may cancel the order. In such cases, any monies paid will be refunded.

(d) Payment and price. The amount indicated on the ordering page includes the service fee (for printing and packing the model) and the cost of materials used to produce the 3D Model. The quoted price also includes shipping costs and sales tax (if applicable) but excludes any import duty or taxes (if applicable). The price quoted on the Platform covers the cost of printing the item and any vendor markup. Manuevo provides estimated currency conversions as a courtesy, which may not reflect actual conversion rates. If you pay in a currency different from the denominated currency of your payment method, your payment provider may apply conversion rates or fees. These fees are not controlled by or known to Manuevo.

You can pay for your order via credit card, Stripe or bank transfer. If you choose Stripe, you will be directed to the Stripe website. If you opt for a bank transfer, you will receive payment instructions via email from Manuevo after confirming your order.

Manuevo is not responsible for the payment process via Stripe.com. Please familiarize yourself with Stripe’s terms of use.

For orders paid via credit card or Stripe, production will begin after payment authorization and holding. For bank transfer payments, production will start after funds arrive in Manuevo’s bank account. If the selected payment method fails, Manuevo reserves the right to retry the payment or require an alternative payment method.

(e) Acceptance. Upon accepting your order, we will send an order confirmation via email to the address associated with your Manuevo Account. The order confirmation is effective from the date it is sent. If we cannot accept your order, we will notify you by email. Verify the details in the confirmation email for accuracy. If there are errors, please contact us.

Intellectual Property Rights of 3D Designs

As a designer, you retain all intellectual property rights to your 3D Models, including derivative works like 3D renders. Aside from the rights and licenses described below, Manuevo will not use, modify, or display your 3D Models or derivatives thereof. By uploading your 3D Models to our Services, you confirm that they are your original work and not copied from others. You also confirm that you have all rights to grant the licenses described below without infringing any third-party rights.

By uploading your 3D Model to our Services, you grant Manuevo a non-exclusive, royalty-free, worldwide, transferable, and sublicensable license to (i) use your 3D Model to fulfill your order; (ii) share with our business partners when necessary to fulfill your order.

Consent to Use of Personal Data

By using our Services, you consent to the collection and use of personal data by Manuevo as outlined in our Privacy Statement.

Third Party Services

Our Services may link to other websites or resources on the Internet. Accessing these third-party resources is at your own risk. We are not responsible for the content, functionality, accuracy, legality, or any other aspect of such external sites. Links do not imply endorsement or association with these sites. We are not liable for any damage or loss related to the use or reliance on any content, goods, or services from these external sites.

Payments and Billing

Some Services may require payment now or in the future (the “Paid Services”). Any payment terms presented to you during the signup or use of a Paid Service are considered part of these Terms and Conditions.

We use a third-party payment processor (the “Payment Processor”) to handle billing through your Account (your “Billing Account”). Payment processing is subject to the Payment Processor’s terms, conditions, and privacy policies. We are not responsible for Payment Processor errors. By using Paid Services, you agree to pay all charges at the current rates through the Payment Processor and authorize us to charge your selected Payment Method. You must provide accurate billing information and update it as needed. Failure to provide updated information may result in continued charges under your Billing Account.

If the amount charged to your Billing Account varies from what was preauthorized (except due to tax changes), you will be notified of the charge amount and date before the transaction. Any agreements with your payment provider will govern your Payment Method. We may accumulate charges and submit them as aggregate charges during billing cycles.

Free trials or promotions for Paid Services must be used within the specified trial period.

Indemnification

You agree to defend, indemnify, and hold harmless us, our affiliates, vendors, and respective employees, contractors, directors, suppliers, and representatives from all liabilities, claims, and expenses related to your use or misuse of the Services including 3D Models, and violations of these Terms and Conditions. This includes any intellectual property claims or damages. We reserve the right to take exclusive control of any matter subject to indemnification and you will assist us in defending it. This indemnity also covers shop owners for claims related to modifications made by you.

Limitation of Liability

WE, INCLUDING OUR DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND SUPPLIERS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR LOSSES, INCLUDING LOSS OF PROFITS, DATA, OR INCOME, ARISING FROM THE USE OF THE SERVICES. OUR LIABILITY IS LIMITED TO THE GREATER OF (A) THE FEE RECEIVED FROM YOU FOR THE SERVICES IN THE PAST THREE MONTHS OR (B) $25.00.

Applicable Law

These Terms and Conditions are governed by the laws of the Netherlands, without regard to its conflict of law principles. Any disputes related to these Terms or the Services will be subject to the exclusive jurisdiction of the courts in the Netherlands.

Entire Agreement

These Terms and Conditions, along with the Manuevo Privacy Policy, and any other applicable terms, constitute the entire agreement between you and Manuevo. Any terms different from or additional to these Terms and Conditions are specifically rejected.

Miscellaneous

(a) Force Majeure: We are not liable for failure to perform obligations due to causes beyond our control, including government actions or technical failures.

(b) Assignment: These Terms are personal to you and cannot be transferred without our written consent. We may assign our rights and obligations without consent.

(d) Notices: Notices must be in writing and are considered given when received by personal delivery, certified mail, facsimile, email, or overnight delivery. Electronic notices should be sent to service@manuevo.com.

(e) No Waiver: Failure to enforce any part of these Terms does not waive our right to enforce it in the future.

(f) Headings: Section headings are for convenience and do not affect interpretation.

(g) Feedback: You grant us a worldwide, royalty-free, irrevocable, perpetual license to use any feedback you provide to improve our Services.
